1. Acceptance of Terms
By accessing or using Baundi's mobile applications, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
These Terms constitute a legally binding agreement between you and Baundi. We may update these Terms from time to time, and your continued use of the Services constitutes acceptance of any changes.
2. Description of Services
Baundi operates a technology platform that connects:
- Customers who wish to order food for delivery
- Vendors (restaurants and food establishments) who prepare and sell food
- Drivers who deliver food from vendors to customers
Baundi acts as an intermediary platform. We do not prepare food, and our drivers are independent contractors. The food you order is prepared by independent vendor businesses.
3. User Accounts
3.1 Registration
To use certain features of the Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorised use of your account
3.2 Account Eligibility
You must be at least 18 years old to create an account and use the Services. By creating an account, you represent and warrant that you meet this age requirement.
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion, with or without notice.
4. Orders and Payments
4.1 Placing Orders
When you place an order through the Services:
- You are making an offer to purchase food from the selected vendor
- The order is confirmed once the vendor accepts it
- Prices displayed include the food cost as set by the vendor
- Additional fees may apply, including delivery fees, service fees, and applicable taxes
- Menu items, prices, and availability are set by vendors and may change without notice
4.2 Payment
Payment is processed at the time of order placement through our payment partner, Paystack. By providing payment information, you:
- Authorise us to charge the total order amount to your selected payment method
- Represent that you are authorised to use the payment method provided
- Agree to pay all charges incurred through your account
We also accept cash on delivery where available. The exact amount must be paid to the driver upon delivery.
4.3 Refunds and Cancellations
- Orders may be cancelled before the vendor begins preparation, subject to our cancellation policy
- Refunds for cancelled orders will be processed to the original payment method
- If you receive an incorrect or incomplete order, please contact our support team for resolution
- Refund eligibility is determined on a case-by-case basis
5. Vendor Terms
If you register as a vendor on the platform, you additionally agree to:
- Maintain all required food safety licences and permits
- Ensure accurate menu descriptions, pricing, and availability
- Prepare orders promptly and to the quality described
- Comply with all applicable food safety and hygiene regulations
- Accept the commission structure and payout terms as agreed upon registration
- Not engage in any discriminatory practices
6. Driver Terms
If you register as a delivery driver, you additionally agree to:
- Maintain a valid driver's licence and vehicle insurance where applicable
- Ensure your vehicle is in safe operating condition
- Handle food orders with care during transport
- Complete deliveries in a timely manner
- Follow all applicable traffic laws and regulations
- Not consume or tamper with any order items
- Verify delivery using the provided PIN system
- Maintain professional conduct with customers and vendors
Drivers are independent contractors and are not employees of Baundi.
7. Prohibited Conduct
You agree not to:
- Use the Services for any unlawful purpose
- Provide false or misleading information
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorised access to any part of the Services
- Use the Services to harass, abuse, or threaten others
- Create multiple accounts for deceptive purposes
- Use automated systems or bots to access the Services
- Resell or commercially exploit the Services without our permission
- Abuse promotional codes, referral programs, or discount offers
8. Intellectual Property
All content, features, and functionality of the Services — including but not limited to the Baundi name, logo, design, text, graphics, and software — are owned by Baundi and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our express written consent.
9. Limitation of Liability
To the maximum extent permitted by law:
- Baundi provides the Services on an "as is" and "as available" basis
- We do not warrant that the Services will be uninterrupted, error-free, or secure
- We are not liable for the quality, safety, or legality of food prepared by vendors
- We are not liable for the actions or conduct of any user, vendor, or driver
- Our total liability for any claim arising from the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
10. Indemnification
You agree to indemnify, defend, and hold harmless Baundi, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
11. Dispute Resolution
Any disputes arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in accordance with the applicable laws of the jurisdiction in which Baundi operates.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
